BUSINESS PROPERTIES & COMMERCIAL OPPORTUNITIES

BUSINESS PROPERTIES & COMMERCIAL OPPORTUNITIES

Connecting Business Assets, Opportunities, Investors & Acquirers

Williamson Overseas Trading Corporation (WOTC) facilitates selected business property, commercial asset and investment opportunity introductions, connecting owners, businesses and promoters with potential buyers, investors, strategic partners and acquirers across domestic and international markets.

Commercial property transactions are often about more than land or buildings. The real value may lie in the business operating from the property, its location, licences, infrastructure, development potential, income-generating capability or strategic relevance to an investor or acquirer.

WOTC therefore approaches selected opportunities from a broader commercial perspective.

Depending upon the mandate, we may assist in identifying potential counterparties, making confidential introductions, facilitating preliminary discussions and supporting communication as an opportunity progresses.

BUSINESS PROPERTIES & COMMERCIAL ASSETS

WOTC may consider selected opportunities involving:

Hotels & Resorts

We consider selected opportunities involving operating hotels, resorts, hospitality properties, boutique properties and hospitality development opportunities.

Depending upon the transaction, an owner may be seeking:

• A complete sale
• Strategic investor
• Joint venture partner
• Hospitality operator
• Development partner
• Acquisition by an established hotel or hospitality group

Likewise, investors and hospitality businesses looking for hotel or resort opportunities may share their acquisition or investment criteria with WOTC.

Industrial Properties & Manufacturing Facilities

WOTC may facilitate selected introductions involving:

• Industrial land
• Factories and manufacturing facilities
• Industrial buildings
• Processing facilities
• Warehouses
• Logistics facilities
• Export-oriented facilities
• Operational manufacturing units with underlying property
• Other selected industrial assets

These opportunities may be relevant to manufacturers seeking expansion, businesses entering new markets, strategic acquirers and investors looking for operating or development assets.

Commercial Properties

Selected commercial opportunities may include:

• Office properties
• Retail properties
• Commercial buildings
• Business centres
• Income-generating commercial assets
• Mixed-use commercial developments
• Other strategically located commercial properties

WOTC considers such opportunities selectively where there is a clear commercial or investment proposition.

Warehousing & Logistics Assets

Growth in international trade, e-commerce, manufacturing and distribution continues to create demand for appropriately located warehouses, logistics facilities, distribution centres and industrial storage assets.

We may consider selected opportunities involving existing facilities, development projects or strategic partnerships in this sector.

Plantation & Agricultural Properties

Selected opportunities involving plantations, agricultural estates and commercially productive landholdings may also be considered where there is a genuine business or investment proposition.

These may include properties associated with:

• Tea
• Coffee
• Spices
• Fruits
• Floriculture
• Agro-tourism
• Hospitality
• Food processing
• Other commercially viable agricultural activities

The opportunity may involve outright acquisition, investment, development, joint venture or another commercially appropriate structure.

Development Opportunities

Some properties derive their greatest value from what can be created on them.

WOTC may consider selected development opportunities involving land or existing assets suitable for hospitality, industrial, commercial, logistics, agricultural or other business-oriented projects.

Where an owner wishes to contribute property while seeking an investor, developer, operator or strategic partner, WOTC may explore potentially relevant commercial connections.

MORE THAN PROPERTY

Sometimes the Business Is More Valuable Than the Building.

A hotel may be sold as an operating hospitality business rather than merely as real estate.

A manufacturing facility may include machinery, licences, employees, customer relationships and an established business operation.

A plantation may offer opportunities in agriculture, processing, hospitality or tourism.

An industrial property may provide a strategic entry point for an international company entering a new market.

WOTC therefore considers the commercial opportunity behind the asset, not merely its physical dimensions.

This distinguishes our approach from conventional property listings.

BUSINESSES WITH UNDERLYING PROPERTY

WOTC may consider selected opportunities where the proposed transaction involves both an operating business and underlying land, buildings or other physical assets.

These may include:

• Hotels and resorts
• Manufacturing businesses
• Food processing units
• Warehousing and logistics businesses
• Plantations
• Healthcare or institutional properties
• Commercial establishments
• Other asset-backed operating businesses

Depending upon the owner's objectives, the opportunity may involve a complete sale, strategic acquisition, investment, partnership or joint venture.

FOR PROPERTY & BUSINESS OWNERS

Considering a Sale, Investment or Strategic Partnership?

Not every valuable commercial opportunity should be publicly advertised.

Owners of substantial business properties or operating assets may prefer to approach selected potential buyers or investors privately.

WOTC considers selected Private & Confidential Mandates involving owners seeking:

• Sale of a commercial or business property
• Sale of an operating business with property
• Strategic investment
• Development partner
• Joint venture partner
• International investor
• Strategic acquirer
• Hotel or business operator
• Partial divestment or other commercial arrangement

Owners should provide sufficient information for us to understand the opportunity before WOTC considers approaching potential counterparties.

FOR INVESTORS & ACQUIRERS

Looking for a Commercial Opportunity?

Investors, entrepreneurs, companies, family businesses, hospitality groups, manufacturers and strategic acquirers may share their investment or acquisition criteria with WOTC.

Useful information includes:

• Preferred country or geographical area
• Type of property or business
• Preferred industry
• Investment range
• Minimum or maximum transaction size
• Operating business or development opportunity
• Income expectations, where applicable
• Acquisition, investment or joint venture preference
• Intended use or strategic objective
• Expected transaction timeframe

This enables WOTC to consider relevant opportunities rather than indiscriminately circulate listings.

INTERNATIONAL INVESTOR & ACQUIRER INTRODUCTIONS

Local Assets Can Attract Global Interest.

An opportunity located in one country may be commercially relevant to an investor, operator or strategic buyer elsewhere.

A hospitality group may be looking for entry into a new tourism market.

A manufacturer may require an industrial facility as part of international expansion.

An overseas investor may be interested in an operating business with substantial underlying assets.

A business group may be seeking plantation, logistics, hospitality or commercial opportunities as part of diversification.

Where appropriate and legally permissible, WOTC may explore cross-border investor, acquirer and strategic partner introductions for selected opportunities.

JOINT VENTURE & DEVELOPMENT PARTNER CONNECTIONS

Ownership Does Not Always Have to Mean Sale.

Some property owners possess valuable land or commercial assets but may not wish to sell.

Instead, they may seek a capable party to provide capital, development expertise, technology, operations, branding or market access.

Depending upon the opportunity, WOTC may facilitate selected introductions involving:

• Property owners and developers
• Landowners and hospitality operators
• Industrial property owners and manufacturers
• Plantation owners and agro or hospitality businesses
• Project promoters and investors
• Asset owners and strategic operating partners

The commercial structure of any proposed joint venture remains subject to negotiation, valuation, due diligence, legal advice and applicable law.

PRIVATE & CONFIDENTIAL OPPORTUNITIES

Some Opportunities Should Remain Private.

Commercial property, business sale and investment discussions can involve sensitive information concerning ownership, valuation, financial performance, employees, customers, lenders or strategic plans.

For selected mandates, WOTC may therefore adopt a progressive disclosure approach.

Preliminary information may initially be shared without identifying commercially sensitive details.

More detailed information can be disclosed to credible counterparties at an appropriate stage and, where necessary, subject to confidentiality arrangements.

This approach can be particularly relevant for operating businesses, hotels, manufacturing facilities and strategic assets where indiscriminate public marketing may not be desirable.

INFORMATION REQUIRED FROM OWNERS & PROMOTERS

To evaluate an opportunity, WOTC may request information including:

• Nature of the property, asset or business
• Location
• Ownership details
• Land or built-up area
• Current use
• Business operations, where applicable
• Indicative transaction value or expectation
• Nature of transaction sought
• Existing income or commercial use, where relevant
• Development potential
• Relevant approvals and licences
• Encumbrance information, where appropriate
• Photographs and presentations
• Supporting title or corporate information at an appropriate stage

WOTC may request additional information before accepting an opportunity for introduction.

SELECTIVE MANDATES

Not Every Listing Is a WOTC Opportunity.

WOTC is not intended to operate as a mass-market property listing portal.

We prefer selected opportunities where the asset, business, location, investment proposition or strategic potential may justify targeted introductions.

We prioritise genuine owners, authorised representatives, investors, acquirers and commercially verifiable opportunities.

Our objective is not to generate the largest number of enquiries.

It is to create the right conversation with the right counterparty.

DUE DILIGENCE & PROFESSIONAL ADVICE

WOTC acts as an introducer and business intermediary for selected opportunities.

Unless specifically agreed otherwise and legally permitted, WOTC does not provide investment advice, valuation, legal due diligence, tax advice or financial advice.

Prospective buyers, sellers, investors and partners should undertake appropriate legal, financial, tax, technical, title and commercial due diligence with their respective professional advisers before entering into any transaction.

Property-related and other regulated activities will be undertaken only where permitted under applicable law and, where required, through appropriately licensed or authorised professionals.

OUR COMMERCIAL MODEL

For selected business property, commercial opportunity, investor, acquirer and strategic partner introductions, WOTC generally works on an agreed finder's fee or success commission basis, depending upon the nature, value, complexity and scope of the transaction.

For substantial transactions, commercial terms may be individually negotiated.

Where appropriate, opportunities and introductions may be governed by Confidentiality, Non-Circumvention, Finder's Fee, Commission or Intermediary Agreements.
